Step 1 — Pick and check a business name

Your LLC name must end with "LLC", "L.L.C.", "Limited Liability Company", or one of those variations. It can't be the same as another registered Michigan entity. Check availability at the official Michigan business search:

Type a few candidate names. If a name shows as "Inactive" or "Withdrawn", it might be available — but call LARA at (517) 241-6470 to confirm. Step 2 — File Articles of Organization ($50)

This is the actual LLC formation filing. Done online directly with Michigan LARA in about 30 minutes:

Heads up on Registered Agent: if you use your home address, anyone can look it up online (it's public record). Step 3 — Get your federal EIN (free)

EIN = Employer Identification Number. It's your business's federal tax ID, like an SSN for the LLC. You need it to open a business bank account, file taxes, hire employees, and accept Stripe/Square payments.

Step 4 — File the BOI report with FinCEN (free, 30-day deadline)

This is new as of 2024 and many people miss it. The Beneficial Ownership Information (BOI) report is a federal requirement under the Corporate Transparency Act. Every newly-formed US LLC must file it within 30 days of formation. Penalty for missing: $500/day, plus criminal charges for willful failure.

Step 5 — Michigan Sales Tax License (free, if needed)

You only need this if you'll sell physical goods (restaurants, retail, grocery, gas stations) or certain taxable services in Michigan. If you only sell professional services (consulting, web design, real estate brokerage), you typically don't need it.

Step 6 — Write an Operating Agreement

Common mistakes Bangladeshi business owners make
